Position Snapshot

The Assistant General Counsel - Finance will be the lead lawyer on Zelestra’s project finance and tax monetization transactions. This is a key role in a fast-paced environmentwhich will require sophisticated finance expertise to support Zelestra’s ambitious pipeline and business plan. This role partners closely with senior leadership, operations, engineering, procurement, and external stakeholders to advance the company’s mission of delivering reliable, sustainable, and clean energy solutions. In addition to the focus on finance transactions, the Assistant General Counsel – Finance will, as time allows, support project development activities and M&A transactions. 

Position Qualifications & Experience

  • Juris Doctor (JD) from an accredited law school; active bar membership in at least one U.S. state.
  • 8–10+ years of legal experience, ideally with a mix of law firm and in‑house roles.
  • Deep experience with project finance and tax monetization structures.
  • Expertise in renewable energy development.
  • Strong analytical, communication, and stakeholder‑management skills. 

Position Responsibilities

-Finance Transactions:   

  • Primary internal legal advisor on all of Zelestra’s back-leverage, construction/term, tax equity bridge, and tax credit transfer bridge financings.
  • Provide advice regarding transaction structuring and execution.
  • Provide advice regarding equipment and invoice finance transactions.
  • Coordinate borrower diligence responses.
  • Coordinate satisfaction of closing conditions (real estate, permitting, etc.).
  • Oversight of External Counsel.

 

-Commercial/Development Transactions & Contracting:

  • Review, draft and negotiate a broad range of commercial agreements.
  • Advise on site control, interconnection, permitting, and environmental matters.
  • Assist with M&A transactions. 

 

-Support corporate governance, and development of internal policies. 

Compensation & Benefits

The salary for this position will be based on the candidate's experience and qualifications based on a remote-working environment, and takes into consideration, among other things, the geographic area in which the candidate resides. The initial annual salary range is: $150,000 - $280,000.
