Mission
In your role as Mergers & Acquisitions Manager, you play a key and fundamental role for Zelestra in Germany. You will work within a small team of dedicated colleagues and set the steps for scale up business.
Responsibilities
• Analyse the German renewables M&A market; own the financial analysis and modelling to translate market intelligence into strategic recommendations and acquisition priorities.
• Develop and continuously refine Zelestra's M&A strategy, including target criteria and acquisition approach
• Source deals by leveraging an existing network of developers, brokers, and asset owners; build new relationships to generate proprietary pipeline.
• Lead end-to-end transaction processes from NBO through to closing for development-stage solar, wind, and BESS assets — including deal structuring (equity/debt split, earnout mechanics, JV arrangements).
• Own the financial model throughout the transaction lifecycle; stress-test assumptions across acquisition and disposal scenarios.
• Manage due diligence workstreams (technical, legal, permitting, grid, tax) and coordinate external advisors, debt advisors, and financing partners.
• Drive negotiation and execution of transaction documents alongside legal counsel.
• Coordinate with internal teams (development, legal, finance, asset management) throughout transactions.
• Execute asset rotation processes on the sell-side.
• Prepare investment committee memos and deal summaries.
• Report pipeline status, market insights, and deal progress to senior leadership.
Job Requirements
• Experienced professional experience in M&A, transaction advisory, project finance, or corporate development with proven track record of leading transaction end-to-end in energy or infrastructure.
• Hands-on experience with due dilligence and transction document negotiation and prior exposure to development-stage renewables (solar, wind, BESS) prefered.
• Sound understanding of the German renewables landscape — EEG, permitting, and grid connection.
• Familiarity with BNetzA regulation and its impact on valuations and deal structuring.
• Existing network of developers, brokers, and asset owners in the German market.
• Experienced in building, owning, and defending project finance and DCF models independently.
• Strong abilitiy in structuring transactions and assessing risk/return across deal configurations.
• Professional in preparing and presenting investment cases to senior stakeholders.
• Taking full ownership of all workstreams through to completion proactively and self-directed
• Execution-oriented and resilient in a fast-paced, rapidly scaling environment.
• Equally comfortable in strategic discussions and in the detail of a model or contract.
• Credible communicator with sellers, advisors, and senior internal stakeholders.
• Business Fluent German and English.
