Mission
Zelestra Italia is seeking an M&A Transaction Manager to support the execution of acquisitions and co‑development deals in the BESS (Battery Energy Storage Systems) and solar PV sectors in Italy — from early‑stage engagement and NBO negotiation through signing and closing.
This role sits at the core of the deal execution process, collaborating closely with internal teams and external advisors (legal, tax, technical, insurance, finance) to ensure transactions progress with speed, clarity, and strong buyer protection. It is a high‑impact position with direct exposure to senior leadership and major players in the Italian renewables M&A market.
Responsibilities
Deal Execution & Transaction Management
- Lead the execution of M&A and co development transactions across the full deal lifecycle.
- Coordinate due diligence workstreams (legal, technical, financial, tax, insurance), ensuring risks and mitigation actions are clearly identified.
- Support the negotiation and structuring of transaction documents (SPA, SHA, co development agreements).
Stakeholder & Advisor Management
- Serve as a key interface with sellers, developers, financial advisors, ensuring a constructive and efficient transaction process.
- Collaborate with cross functional teams (legal, engineering, construction, finance, HSE) to ensure internal alignment.
Internal Governance & Reporting
- Support internal approval processes by preparing deal materials and transaction summaries.
- Ensure deals progress smoothly toward signing and closing, in alignment with internal governance, deadlines, and quality standards.
Job Requirements
Education
- Degree in Business, Engineering, Law or Finance.
Professional Experience
- 5+ years of M&A experience in the Italian renewables sector, ideally with exposure to utility‑scale BESS and PV projects.
- Strong experience in SPA negotiations, milestone‑based pricing structures, and multi‑stream due diligence coordination.
Technical Skills
- Experience in M&A transactions involving utility‑scale PV and BESS assets.
- Understanding of project development for solar and BESS.
- Solid knowledge of the Italian renewables market.
- Competence in financial modeling, valuation and regulatory frameworks.
- Advanced Excel & PowerPoint skills; familiarity with sector databases and platforms is a plus.
- English C1 (negotiation level) and fluent Italian.
